These Terms of Service (“Terms”) govern your access to and use of the NOCOStack website, application, integrations, APIs, and related services (collectively, the “Services”).
These Terms form a legally binding agreement between you, either individually or on behalf of your employer or another legal entity (“Customer,” “you,” or “your”), and NOCOStack LLC (“NOCOStack,” “Company,” “we,” “our,” or “us”).
By clicking “Accept,” creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
If you are using the Services on behalf of an entity, you represent that you have authority to bind that entity to these Terms.
NOCOStack provides premium integrations, automation tools, APIs, PDF generation services, email automation services, and related add-ons for use with Quickbase applications.
The Services may include:
• Cloud-based tools
• APIs
• Integrations with Quickbase
• Integrations with Google and Microsoft accounts
• PDF generation functionality
• Email sending functionality
• Usage-based processing services
We may modify, improve, suspend, or discontinue features at any time. If we materially reduce core functionality of a paid subscription, we will provide notice.
Your purchase is not contingent on future functionality or features.
You must be at least 18 years old to use the Services.
To access the Services, you must create an account.
You agree to:
• Provide accurate and complete registration information
• Maintain confidentiality of your credentials
• Be responsible for all activity under your account
If you use a company email domain, you may be deemed to represent that organization.
You are responsible for all Users associated with your account.
“Customer Data” means any data submitted to or processed through the Services, including Quickbase data, documents, records, files, and automation inputs.
You retain all rights to your Customer Data.
You grant NOCOStack a limited, worldwide, non-exclusive license to process Customer Data solely to:
• Provide the Services
• Generate PDFs
• Send authorized emails
• Maintain system security
• Track usage metrics
• Comply with legal obligations
We do not claim ownership of your Customer Data.
You represent that you have all necessary rights and permissions to submit and process Customer Data.
You agree not to submit data that is unlawful or that you do not have authority to use.
If you choose to connect a Google or Microsoft account, you authorize NOCOStack to send emails on your behalf.
NOCOStack does not read inbox content.
NOCOStack does not store email bodies.
OAuth tokens are securely stored and deleted immediately upon revocation or account termination.
Your use of third-party integrations is also subject to those providers’ terms.
Fees are billed through Stripe.
You authorize us and our payment processor to charge your selected payment method.
Fees are non-refundable except as expressly stated.
Subscriptions renew automatically unless canceled before the renewal date.
You are responsible for all applicable taxes.
Failure to pay may result in suspension or termination.
All rights, title, and interest in the Services, including software, APIs, documentation, and related materials, remain the property of NOCOStack.
We grant you a limited, non-exclusive, non-transferable license to use the Services during your subscription term.
You may not:
• Reverse engineer the Services
• Resell or sublicense the Services
• Use the Services to build a competing product
• Interfere with system security
Feedback you provide may be used by NOCOStack without restriction.
The Services may integrate with Quickbase, Google, Microsoft, Stripe, AWS, and other third-party providers.
We are not responsible for third-party services.
Your use of third-party services is governed by their respective terms.
We do not control third-party systems or uptime.
Each party may disclose confidential information.
Confidential Information includes Customer Data and non-public technical information.
The receiving party agrees to use reasonable safeguards and not disclose such information except as necessary to perform under these Terms.
Confidential Information does not include information that is publicly available or independently developed.
Our Privacy Policy governs our collection and use of personal data and is incorporated into these Terms by reference.
The services are provided "as-is" and "as-available."
We disclaim all warranties, express or implied, including warranties od merchanability, fitness for a particular purpose, and non-infringement.
We do not guarentee uniterrupted or error-free operation.
To the maximum extent permitted by law:
NOCOStack shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Our total aggregate liability shall not exceed the total fees paid by you in the 12 months preceding the claim.
You agree to indemnify and hold harmless NOCOStack from claims arising from:
• Your misuse of the Services
• Your violation of these Terms
• Your Customer Data
You may cancel your subscription at any time.
We may suspend or terminate access if you violate these Terms or fail to pay fees.
Upon termination:
• Access to Services will cease
• OAuth tokens will be deleted
• You are responsible for exporting your data prior to termination
We may delete data after termination in accordance with our Privacy Policy.
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles.
Any disputes shall be resolved in Colorado courts.
We may update these Terms from time to time.
Continued use of the Services after changes constitutes acceptance of the revised Terms.
